MTN Group Strengthens Board with Five New Independent Directors

MTN Group has announced a series of changes to its Board of Directors, including the appointment of five new independent non-executive directors, as part of efforts to strengthen governance and support its long-term strategic priorities.

The newly appointed directors — Herman Bosman, Advocate Ouma Rasethaba, Stéphane Richard, Ignatius Sehoole, and Saf Yeboah-Amankwah — are set to join the Board effective 31 March 2026. Their combined expertise spans finance, governance, telecommunications, and global business leadership, which MTN believes will enhance its strategic oversight capabilities.

The appointments form part of the Group's broader succession planning process aligned with its Ambition 2030 strategy, which focuses on driving digital and financial inclusion across Africa. According to MTN Group Chairman Mcebisi Jonas, the changes are intended to strengthen the Board's depth of expertise while ensuring continuity in leadership during a period of transformation.

As part of the transition, two long-serving board members — Stan Miller and Nkululeko Sowazi — will step down at the company's annual general meeting scheduled for 29 May 2026. The company acknowledged their contributions in helping guide MTN through key phases of growth and operational challenges.

During the transition period, the Board will temporarily expand to accommodate incoming members before gradually returning to its standard size as succession plans are completed.

MTN also confirmed leadership changes within its South African subsidiary. Mike Harper will step down as Chairman of MTN South Africa at the end of March 2026, with Sindi Mabaso Koyana set to assume the role from 1 April 2026.

The Board changes come as MTN continues to evolve its operating model, focusing on digital platforms, fintech services, and expanded connectivity across its markets. Strengthening governance structures is seen as a key enabler for executing this strategy effectively.

With operations spanning multiple African and Middle Eastern markets, MTN is positioning itself to deliver long-term growth through improved leadership, enhanced oversight, and a stronger alignment between governance and strategic execution.
