Swisscom Secures MIMIT Approval to Acquire Vodafone Italia

Swisscom has officially secured approval from Italy's Ministry of Enterprises and Made in Italy (MIMIT) to proceed with its acquisition of Vodafone Italia. This decision follows earlier clearance by the Italian competition authority and paves the way for a major consolidation in the Italian telecoms sector, combining Swisscom-owned Fastweb (a mobile operator focused on 5G) with Vodafone Italia, a leading provider by subscriber count.

The acquisition, valued at approximately €8 billion, is expected to close by Q1 2025. Under the deal, Swisscom has proposed and had accepted a set of behavioural remedies. These include maintaining the existing wholesale services for other operators as currently practiced by Fastweb, and sharing relevant information in public tenders for fixed telephony and fixed connectivity services whenever either Fastweb or Vodafone Italia currently serves as supplier for public authorities.

These measures will be overseen by an independent monitoring trustee for a period of three years. Additionally, the approval includes changes in oversight of Vodafone Italia's spectrum license ownership.

Swisscom CEO Christoph Aeschlimann stated that the merger is grounded in "strong industrial logic," citing Swisscom's long-standing presence and investment success in Italy since acquiring Fastweb in 2007. He emphasized that combining Fastweb's expertise with Vodafone Italia will deliver improved offers for both retail/business customers while empowering Swisscom to increase its investment in both the Italian and Swiss markets.

Analysts view this merger as a way to reduce fragmentation in Italy's telecom sector—historically split among multiple major operators—and to possibly stimulate further consolidation in European telecom markets. The union of Vodafone Italia and Fastweb under Swisscom could lead to more efficient operations, a wider service portfolio, and enhanced competitive pressure in both mobile and fixed broadband services.
